These Terms govern your access to and use of our website, including any content, functionality, and services offered through it (collectively, the “Services”), as well as all film processing, scanning, printing, and related photographic services provided by the Company, whether ordered online, in person, or by mail.

2. Services

Ambient Film Lab LLC provides professional analog film processing, scanning, digital file delivery, and related photographic services. We offer film drop-off, mail-in, and digital delivery options as part of our Services.

All Services are subject to availability and may be modified, suspended, or discontinued at any time without notice. Turnaround times are estimates and not guaranteed unless otherwise stated in writing.

3. Customer Film, Negatives, and Materials

When you submit film, negatives, prints, or other physical media (“Materials”) to us, you acknowledge and agree to the following:

  • You are the lawful owner of, or have full authorization to submit, all Materials for processing.

  • While we take great care in handling all customer materials, Ambient Film Lab, LLC is not responsible for loss, damage, or delay to film or other materials due to circumstances beyond our control, including but not limited to postal delays, carrier loss, equipment malfunction, or acts of nature.

  • In the unlikely event that your film or materials are lost or damaged while in our possession, our liability is limited to the replacement of an equivalent unexposed roll of film or a refund of the processing fee, at our discretion.

  • You are responsible for ensuring proper packaging and labeling for any materials mailed to us. We strongly recommend using tracked and insured shipping services.

Processed negatives are typically retained for a limited time after order completion. We are not responsible for materials unclaimed after 30 days from the completion date, after which they may be securely disposed of.

4. Digital File Delivery

Scans and digital files are delivered electronically via online download links or other digital methods. Download links may expire after 30 days unless otherwise specified.

We recommend downloading and securely backing up your files promptly upon receipt. We cannot guarantee long-term file storage and are not responsible for files deleted, corrupted, or lost after the delivery window expires.

5. Payments and Orders

All prices are listed in U.S. dollars unless otherwise stated. Payment is due at the time of order unless otherwise agreed in writing. We reserve the right to modify prices, fees, or service offerings at any time without prior notice.

By placing an order, you represent that all information provided is accurate and that you are authorized to use the payment method submitted. Orders may be canceled or refused at our discretion, including for suspected fraud or misuse.

All sales are considered final once Services have been rendered, except where prohibited by Oregon consumer protection law.

6. Intellectual Property

All website content, including text, graphics, logos, images, and other materials created by Ambient Film Lab, LLC, are protected under U.S. and Oregon copyright and trademark laws. You may not reproduce, distribute, or use such materials without our prior written consent.

You retain ownership of your original photographic content. By submitting Materials for processing, you grant us a limited, non-exclusive, royalty-free license to reproduce, scan, or digitally convert your images solely for the purpose of fulfilling your order.

7. Limitation of Liability

To the fullest extent permitted under Oregon law, Ambient Film Lab, LLC shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of our website or Services, including but not limited to loss of data, profits, or goodwill.

Our total liability for any claim related to the Services, including loss or damage to film or materials, shall not exceed the total amount paid for the affected order. This limitation does not exclude liability for gross negligence or willful misconduct where prohibited by Oregon law.

8. Indemnification

You agree to indemnify and hold harmless Ambient Film Lab, LLC, its owners, employees, and agents from and against any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising out of your use of our Services, your submission of Materials, or your violation of these Terms.

9. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of laws principles.

You agree that any disputes or legal actions arising out of or relating to these Terms or our Services shall be filed exclusively in the state or federal courts located in Multnomah County, Oregon, and you consent to the jurisdiction of those courts.

10. Severability

If any provision of these Terms is determined to be invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.

  • Film Negatives and Materials: Retained for 90 days after processing before disposal, unless arrangements are made for pickup or return.

  • Customer Accounts and Orders: Basic order and payment records may be retained as required by Oregon law and for business recordkeeping.

After these periods, digital files and materials are securely deleted or destroyed.

6. Data Security

We use reasonable physical, technical, and administrative safeguards to protect your personal information from unauthorized access, alteration, or disclosure.
